system requirements for premier 6

Hi,
Im getting a new laptop which has 252 ram memory and is Windows XP - will my Premier 6 disc install on this? I have two serial numbers on the disc case - are these all I need to install - and why two? (I bought an editing suite with premier installed so that's why I don't know the procedure).
