Premiere Pro 2 has a timecode function. I haven't played wiht it yet so not sure if you get to change the colours and or font. All you need to do is generate a five minute piece of footage and then when rendered out, add it to your timeline and play it backwards. Instant countdown.

Quick response!
I tried that but I really need more control...is there a plugin or someway to do these countdowns differently? I need it in frames probably but I can't imagine people sit there and make a million frames to countdown 5 minutes all the way to 0, especially using milliseconds.
ANYONE OTHER SOLUTIONS PLEASE THANKS!

Well i think the real issue is that you havent quite explained what you need. I know you need a time code function but what do you need other then this. Fonts you can do, color u can do so whats your issue?

Makes .avi files of countdown clocks. That should make it easier on you than doing this manually!

A need I had for this was met by using 'xnote stopwatch', a free download with enough time to get what you need and loads of controls to change what it looks like and does, capture that with a video capture program, I used Wisdom Soft Auto Screen recorder, then crop the resulting AVI in your editing program and use as necessary.
Though the suggestion above sounds simpler |

Adobve Photoshop has a simple function of creating framed animations. A countdown clock is easy to do in PS. Look into it.
That can then be imported to AE
